The acquisition of DI will strengthen Xchanging's technology capabilities in network managed services and establish a reseller platform. DI also brings a strategic customer base in the UK through its existing network managed service contracts. The acquisition consideration will be paid in cash over two years through a combination of a guaranteed payment of £6.5 million and an earn- out of up to £2.5 million, contingent upon the acquired business delivering operating profit targets. DI reported revenues of £14.5 million for the year ending 31 March 2010.
