Golden Predator Corp. Announces $15 Million Bought Deal Private Placement

Golden Predator Corp. (TSX:GPD) (the "Company") is pleased to announce that it entered into an agreement with Dundee Securities Ltd. and Casimir Capital L.P. as co-lead underwriters (collectively, the "Underwriters") to purchase 6,670,000 units (the "Units") of the Company at a price of $0.75 per Unit and 11,115,000 flow-through common shares (the "Flow-Through Shares") at a price of $0.90 per Flow-Through Share for aggregate gross proceeds of up to $15,006,000. The Units consist of one common share ("Share") and one half of one transferable common share purchase warrant of the Company ("Warrant") with each whole Warrant exercisable into one common share of the Company at a price of $1.10 for a period of 18 months following the closing. The Underwriters also have the option to purchase up to an additional 15% of the Flow-Through Shares and Units at any time up to 48 hours prior to the closing date. The gross proceeds of the Flow-Through Shares shall be used for exploration on the Company's Canadian projects and the net proceeds of the Units shall be used for general corporate purposes. With respect to the Flow-Through Shares, the Company will renounce Canadian Exploration Expenses with an effective date of no later than December 31, 2011.
As consideration to the Underwriters, the Company has agreed to pay a commission of 6.0% of the gross proceeds of the sale of the Flow-Through Shares and Units and issue warrants ("Underwriters' Warrants") equal to 6.0% of the Units issued pursuant to the private placement. Each Underwriters' Warrant entitles the holder, on exercise, to purchase one additional common share of the Company at a price of $1.10 for a period of 18 months from the completion of the private placement.
All securities issued in connection with the private placement will be subject to a minimum four month hold period. The private placement is subject to all required approvals, including the approval of the Toronto Stock Exchange.
