SJ Strategic Investments LLC announces acquisition of securities of Tribute Pharmaceuticals Inc.
BRISTOL, TN, March 5, 2013 /CNW/ - SJ Strategic Investments LLC ("SJ"), a private family owned investment vehicle, focusing on both private and public pharmaceutical company investments, today announced that it has acquired an additional 1,250,000 common shares ("Common Shares") of Tribute Pharmaceuticals Canada Inc. ("Tribute") (OTC: TBUFF) at a price of $0.40 per Common Share and acquired 625,000 series A warrants of Tribute ("Series A Warrants") and 625,000 series B warrants of Tribute ("Series B Warrants", and together with the Series A Warrants, the "Warrants") in a private placement of securities by Tribute (collectively, the "Offering").
On the completion of the Offering, SJ held 6,438,794 Common Shares, 625,000 Series A Warrants and 625,000 Series B Warrants. The 6,438,794 Common Shares held by SJ represent approximately 13.4% of the issued and outstanding Common Shares (based on 48,047,542 Common Shares issued and outstanding on the date hereof). Assuming all of the Warrants held by SJ were exercised, SJ would hold 7,688,794 Common Shares, representing approximately 15.6% of the issued and outstanding Common Shares (based on 48,047,542 Common Shares issued and outstanding on the date hereof and assuming no exercise or conversion of any other outstanding Warrants or other securities of Tribute that are exercisable for Common Shares).
In addition, Mr. John M. Gregory , the Managing Partner of SJ, also holds 625,000 Common Shares, 150,000 options to acquire Common Shares ("Options"), 312,500 Series A Warrants and 312,500 Series B Warrants. Mr. Gregory also manages the investment portfolio ofKingsway Charities, Inc. ("Kingsway"), and is the Chairman of the Board of Kingsway, and is therefore deemed to control the 1,025,000 Common Shares, 312,500 Series A Warrants and 312,500 Series B Warrants held by Kingsway.
Therefore, SJ, Mr. Gregory and Kingsway together hold 8,088,794 Common Shares, 150,000 Options, 1,250,000 Series A Warrants and 1,250,000 Series B Warrants. The 8,088,794 Common Shares held together by SJ, Mr. Gregory and Kingsway represent approximately 16.83% of the issued and outstanding Common Shares (based on 48,047,542 Common Shares issued and outstanding on the date hereof). Assuming all of the Options and Warrants held together by SJ, Mr. Gregory and Kingsway were exercised, SJ, Mr. Gregory and Kingsway would together hold 10,738,794 Common Shares, representing approximately 21.18% of the issued and outstanding Common Shares (based on 48,047,542 Common Shares issued and outstanding on the date hereof and assuming no exercise or conversion of any other outstanding Options, Warrants or other securities of Tribute that are exercisable for Common Shares).
The acquisition of the Common Shares and Warrants was made for investment purposes only, and not with the purpose of influencing control or direction over Tribute. SJ may acquire further Common Shares, or dispose of its holdings of Common Shares, as investment conditions warrant.
